Terms and Conditions

This Client Agreement is a part of the Terms of Use Agreement and constitutes a legal agreement between you ("you"), an individual or organization you represent and GEGI LLC ("GEGI"), a California Limited Liability Company (the "Company) and apply to your visit to and your use of our website at www.gegi.co (the "Website") the Software as a Service (SaaS) GEGI solutions that we provide.

GEGI through the SaaS solution (which is customizable for you) provides Student Informational System to you to utilize for your educational institution. GEGI SaaS solution allows you to utilize our software to manage student life cycle from lead to alumni stage of educational process.

By using our Saas GEGI solution, you expressly represent and warrant that you legally entitled to enter to this Agreement, in addition you agree, represent and warrant that:

• You are at least 18 years old.
• You represent an educational institution and you intent to utilize the SaaS solution for that institution.
• You have the right, authority and capacity to enter into this Agreement and to abide by all of the terms and conditions of this Agreement.
• You provided information to the Company, which is accurate and complete. The Company is entitled at all times to verify the information and you have provided and refuse the Service without providing reasons.
• You agree to comply with all applicable laws of the location in which you are physically present while using the Application and the Service.
• You gain access to the SaaS solution using authorized means.
• You will not authorize others to use your account.
• You will only use the SaaS solution or the Service for lawful purposes; you will not use the Application or the Service for sending or storing any unlawful material or for fraudulent purposes.
• You will not use the SaaS solution to cause nuisance, annoyance or inconvenience.
• You will not intentionally try to harm the SaaS Solution in any way whatsoever.
• You will not copy, or distribute the application or other content without written permission from the Company.
• You will only use the SaaS Solution for your own use and will not resell it to a third party.
• You will keep secure and confidential your account password or any identification we provide you which allows access to the SaaS Solution.

All intellectual property rights on the SaaS solution shall be owned by GEGI LLC absolutely and in their entirety, including any of your suggestion, comment, question, idea or feedback provided by you related to the SaaS solution, the Website or the Service.

GEGI's name, logo, names or products associated with the SaaS solution, the Website and the Service are trademarks of the GEGI LLC and cannot be used without Company's written consent.

You agree that you will defend, indemnity and hold GEGI LLC and our officers, employees, directors, agents harmless from and against any and all claims, damages, losses, liabilities and expenses (including reasonable attorney's fees) arising out of or related to your breach of this Agreement; or your violation of any law or the rights of a third party including, without limitation, or your use or inappropriate use of the SaaS solution or the Service.

GEGI shall not be liable for any damages resulting from the use or inability to use the SaaS solution or the Website or any damages resulting from electronic means of communication with the SaaS solution or Internet delays. GEGI will reasonably keep the Website and the SaaS solution and its content up to date but doesn't guarantee that there are no errors, defects, malware or viruses or that the SaaS solution and the Website is up to date and accurate. In no event will GEGI, our officers, directors, employees or agents, be liable to you for any incidental, indirect, or consequential damages related to or arising out of the SaaS solution or Service or this Agreement. In no event GEGI's aggregate liability shall exceed an amount of $250. GEGI under no circumstances accepts liability related to or arising out of negligence of the users of the SaaS solution. You and any Users use the SaaS solution and Service at their own risk.

Any Dispute you may bring against GEGI LLC, or any of its parents, subsidiaries, officers, directors, or employees, without limitation, or which GEGI LLC may bring against me, no matter how characterized, pleaded or styled, shall be resolved by binding arbitration, conducted by the American Arbitration Association, under its Consumer Rules, and decided by a single arbitrator. The arbitrator will decide the case pursuant to the Federal Arbitration Act, and under the laws of the state where this Agreement was executed. Any dispute over the interpretation, enforceability or scope of this Arbitration Agreement shall be decided by the Arbitrator, and not by a Court. You explicitly waive any right you may have to a jury trial, and understand that the decision of the arbitrator will be binding, and not merely advisory. Neither GEGI nor I shall file any lawsuit against the other in any court and agree that any suit filed in violation of this provision shall be promptly dismissed by the court in favor of arbitration. Further, you agree that any dispute or claim you may bring shall be brought solely in your individual capacity, and not as a plaintiff or class member in any purported class action, representative proceeding, mass action or consolidated action.

The term of this agreement is open ended until you utilize the SaaS solution. You are able to terminate the Agreement at any time by providing a 30 days written email. You can close your account at any time by sending an email to support with such a request. GEGI LLC may terminate this Agreement and close your account at any time, for any reason, without explanation, upon sending an email notifying you of such action. Accounts with Premium version will have specified term and cannot be closed. Additional term and other details will be specified in Premium version agreements.

Subject to the terms and conditions of this Agreement, GEGI grants you a limited non-exclusive, non-transferable license to configure, setup and utilize the SaaS solution for the educational orginization you represent.

You shall not:

• License, sublicense, sell, resell, assign, distribute or otherwise make available to any third party the Service or the SaaS solution in any way.
• Modify or make derivative works based upon the Service or the SaaS solution.
• Create Internet "links" to the Service or "frame" or "mirror" any SaaS solution on any other server or wireless or Internet-based device.
• Reverse engineer the SaaS solution.
• Send spam.

You agree to accept and consent to receive email and text messages from GEGI LLC. Standard text messaging charges may apply. If you do not wish to receive email and text messages, please do not use the SaaS solution.
